PM Tool Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the CodeBranch Project Management Tool (“Service” or “PM Tool”), provided by CodeBranch LLC (“CodeBranch,” “we,” “our,” or “us”).
By accessing or using the Service, you agree to be bound by these Terms.
The Service is available exclusively to CodeBranch customers under an existing commercial agreement for software development, agile project management, or related professional services.
1. Eligibility & Access
1.1. Access to the PM Tool is provided only to:
CodeBranch clients with an active services agreement, and
Authorized users designated by those clients (“Authorized Users”).
1.2. You may not use the Service if you do not have permission from CodeBranch or if your underlying services agreement has expired or been terminated.
1.3. You are responsible for maintaining the confidentiality of your login credentials and for all activity performed under your account.
2. Purpose of the Service
2.1. The PM Tool is designed to support agile development workflows, including but not limited to:
requirement management and task tracking,
communication between stakeholders,
monitoring project progress, sprints, milestones, and deliverables.
2.2. The Service is intended for internal project collaboration between CodeBranch and its customers. It is not a public or consumer-facing platform.
3. Customer Data & Privacy
3.1. “Customer Data” refers to any data, files, documents, messages, or content entered by you or on your behalf within the Service.
3.2. Customer Data is processed in accordance with the CodeBranch Privacy Policy, which forms an integral part of these Terms.
3.3. CodeBranch does not sell or share Customer Data for advertising or unrelated commercial purposes.
3.4. You retain ownership of your Customer Data. You grant CodeBranch a limited, non-exclusive license to use Customer Data solely for:
operating, maintaining, and improving the Service,
fulfilling contractual obligations,
supporting and troubleshooting.
3.5. You are responsible for ensuring that Customer Data does not infringe third-party rights or violate applicable laws.
4. Acceptable Use
You agree not to:
Attempt to disrupt, compromise, or gain unauthorized access to the Service.
Upload malicious code, illegal content, or materials containing confidential information of third parties without authorization.
Use the Service to send spam, conduct unlawful activities, or violate intellectual property rights.
Reverse engineer, decompile, or otherwise attempt to extract source code or underlying algorithms.
CodeBranch may suspend or terminate access for violating these Terms.
5. Service Availability & Modifications
5.1. CodeBranch strives to provide reliable and secure access but does not guarantee uninterrupted availability. Maintenance windows or updates may occur as needed.
5.2. We may modify or discontinue features of the Service to improve performance, support customer needs, or maintain security. If a change materially affects functionality, we will notify you when reasonably possible.
6. Intellectual Property
6.1. The PM Tool, including its design, code, features, documentation, and branding, is the intellectual property of CodeBranch.
6.2. Except for limited usage rights granted to you, no license or ownership is transferred.
6.3. Feedback or suggestions you provide may be used by CodeBranch to improve the Service without obligation or compensation.
7. Confidentiality
7.1. All information shared within the PM Tool regarding projects, designs, requirements, or business operations is considered confidential under your existing agreement with CodeBranch.
7.2. Both parties agree to protect such information with reasonable care and use it only for project-related purposes.
8. Security
8.1. CodeBranch employs industry-standard security practices to protect Customer Data.
8.2. You are responsible for ensuring that your team uses strong passwords, secure devices, and appropriate internal access controls.
8.3. You must notify CodeBranch immediately of any suspected breach, unauthorized access, or compromised account.
9. Termination
9.1. Access to the PM Tool is tied to your commercial relationship with CodeBranch. Access may end when:
the underlying contract terminates,
you request termination,
your account is inactive or misused,
or CodeBranch deems it necessary to comply with law or protect security.
9.2. Upon termination, Customer Data will be retained or deleted per the Privacy Policy and contractual obligations.
10. Disclaimers
10.1. The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied.
10.2. CodeBranch does not guarantee:
uninterrupted use,
complete bug-free performance,
compatibility with all browsers or devices,
or that data will never be lost.
10.3. You understand that project decisions remain your responsibility; the PM Tool is an aid, not a substitute for professional judgment.
11. Limitation of Liability
To the maximum extent permitted by law:
CodeBranch is not liable for indirect, incidental, special, or consequential damages.
Direct damages are limited to the amount paid under your active services agreement during the preceding 12 months.
This limitation applies even if CodeBranch has been advised of the possibility of such damages.
12. Governing Law
These Terms are governed by the laws of the jurisdiction in which your commercial contract with CodeBranch is executed, unless otherwise specified in that agreement.
13. Changes to the Terms
We may update these Terms as needed. Material changes will be communicated to Authorized Users or customer points of contact. Continued use of the Service signifies acceptance of updated Terms.
